1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you ("you," "Client") and Telemarketing Services LLC ("we," "us," "our"), concerning your access to and use of this website as well as any related telemarketing and outbound sales services provided. You agree that by accessing the website or engaging our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.
2. Intellectual Property Rights
Unless otherwise indicated, the website is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the website (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. Any call scripts, campaign frameworks, training materials, or operational processes developed by us during service delivery shall remain our intellectual property, though the Client will receive full rights to agreed deliverables upon full payment.
3. Service Provision and Payment
We agree to provide telemarketing services as outlined in a separate Statement of Work (SOW) or service agreement. Fees, dial volumes, payment terms, compliance obligations, and campaign timelines will be specified in the SOW. Payments are due according to the schedule outlined. Failure to make timely payments may result in suspension or termination of services.
4. Prohibited Activities
You may not access or use the website or our services for any purpose other than that for which we make them available. You agree not to use our services to engage in any fraudulent, illegal, or unethical activities, including violations of telemarketing regulations such as the TCPA and applicable state laws. You are responsible for ensuring all prospect lists, offers, and scripts provided to us comply with all applicable laws and industry requirements, including Do-Not-Call obligations.
5. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use the website or engage our services. Either party may terminate the service agreement with written notice as specified in the SOW. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, DENY, SUSPEND, OR TERMINATE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.
6. Governing Law
These Terms shall be governed by and defined following the laws of the State of Missouri. Telemarketing Services LLC and yourself irrevocably consent that the courts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
